1. Acceptance of Terms

By accessing and using the lead generation services provided by SurgeAI LLC ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services Provided

SurgeAI LLC provides lead generation services exclusively for commercial cleaning companies. Our services include:

• AI-powered prospecting to identify businesses actively seeking cleaning services
• Pre-qualification of potential clients based on your service area and capabilities
• Appointment setting with qualified prospects
• Delivery of exclusive lead contact information
• Lead tracking and performance reporting

4. Qualified Lead Definition

A "qualified lead" is defined as a business contact that meets the following criteria:

• Located within your specified service area
• Has demonstrated interest in commercial cleaning services
• Matches your target customer profile (facility type, size, etc.)
• Has valid contact information (phone, email, or both)
• Has not been previously delivered to you within the last 90 days
• Is not on any suppression or do-not-contact list you have provided

5. Lead Quality Guarantee

We stand behind the quality of our leads. If a lead does not meet the qualified lead criteria stated above, you may request a credit within 7 days of delivery by providing documentation of the issue. Valid reasons for credit include incorrect contact information, lead outside your service area, or duplicate delivery. Credits will be applied to future lead purchases or refunded at your request.

6. Refund Policy

Refunds are provided for leads that do not meet our qualified lead criteria as outlined in Section 4. Refund requests must be submitted within 7 days of lead delivery with supporting documentation. Refunds will not be provided for leads that were properly qualified but did not result in a sale, as lead conversion depends on many factors beyond our control.

7. Cancellation Policy

You may pause or cancel lead delivery at any time by providing written notice to info@surgeai.net. There are no cancellation fees or penalties. If you have prepaid for leads, any unused balance will be refunded within 14 business days of your cancellation request.

8. Lead Exclusivity

All leads delivered to you are exclusive and will not be sold to competing commercial cleaning companies in your service area. However, we reserve the right to provide the same lead to non-competing businesses in different industries or service areas.

9. Client Responsibilities

To ensure the best results from our lead generation services, you agree to:

• Respond to leads in a timely manner (within 24-48 hours recommended)
• Provide accurate information about your service area and capabilities
• Maintain any suppression lists or do-not-contact preferences you wish to enforce
• Comply with all applicable laws and regulations regarding telemarketing and email communication
• Provide feedback on lead quality to help us improve our targeting

10. Intellectual Property

All proprietary technology, algorithms, and methods used by SurgeAI LLC to generate and qualify leads remain the exclusive property of SurgeAI LLC. You receive a license to use the lead contact information provided for the purpose of conducting your commercial cleaning business.

11. Service Level Commitment

While we cannot guarantee specific lead volumes, we commit to:

• Delivering only leads that meet your specified qualification criteria
• Responding to support requests within 24-48 hours
• Providing lead delivery reports and performance metrics
• Maintaining the confidentiality and security of your account information

12. Limitation of Liability

To the maximum extent permitted by law, SurgeAI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, business opportunities, or revenue resulting from leads that do not convert to sales. Our total liability for any claim arising from our services shall not exceed the amount paid for the specific lead(s) in question.

13. Indemnification

You agree to indemnify and hold harmless SurgeAI LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising out of your use of the leads we provide, your communications with prospects, or violation of these Terms or applicable laws and regulations.

14. Compliance with Laws

You agree to comply with all applicable federal, state, and local laws and regulations when contacting and communicating with leads, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and state telemarketing laws. You are responsible for obtaining any necessary consents before contacting leads.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify clients of any material changes via email to the address on file. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Sheridan County, Wyoming.
