Please read these terms carefully before subscribing to SurgeAI's AI Receptionist service. By subscribing, you agree to be bound by these terms.

Section 01

Definitions

The following defined terms apply throughout this agreement:

Agreement These Terms of Service, including all sections, schedules, and any amendments agreed to in writing by both parties.
Client The mortgage broker, loan officer, or lending company subscribing to SurgeAI's AI Receptionist service.
SurgeAI The AI Receptionist platform operated by Fintier LLC, a Wyoming limited liability company.
Call / Inbound Call An inbound phone call from a prospective borrower answered by the SurgeAI AI Receptionist on the Client's behalf.
Engagement An AI-powered response to an inbound call via phone, SMS, and/or email, initiated automatically by the SurgeAI platform on behalf of the Client.
Subscription A recurring monthly plan purchased by the Client that determines the number of inbound calls answered per month and the features available.
AI Persona The customizable virtual agent identity configured by the Client, which represents the Client's brand when answering calls and engaging borrowers via phone, SMS, and email.
Call Source A configured intake channel (phone number or webhook URL) through which the Client's inbound calls are routed to the SurgeAI platform.
Response Time The elapsed time between an inbound call arriving on the platform and the AI Receptionist answering, measured in seconds.
Section 02

Services

SurgeAI provides AI Receptionist services for mortgage brokers and lending professionals. The scope of services includes:

SurgeAI does not provide: loan origination, underwriting, rate quoting, compliance advice, or any licensed mortgage services. The Client is solely responsible for all lending activities and regulatory compliance once a borrower has been engaged and handed off by the platform.

Service level and response times

SurgeAI's AI Receptionist platform is designed to handle inbound calls from mortgage borrowers as quickly as possible. The following service level commitments apply:

SurgeAI does not guarantee that every inbound call will result in a successful borrower qualification or appointment booking. Call quality depends on carrier routing, caller behavior, and network conditions. SurgeAI is not liable for calls that disconnect prematurely or contain invalid caller information.

SurgeAI provides call logs, SMS delivery receipts, and email send confirmations in the Client dashboard. If the Client disputes the handling of a call or engagement, they must raise the dispute within 48 hours of the call. Disputes raised after this window are considered waived.

Section 04

Subscription and billing

SurgeAI's AI Receptionist service is offered on a monthly subscription basis. The following tiers are available:

Subscriptions automatically renew on the same day each month. Call counts reset at the beginning of each billing cycle. Calls received after the monthly limit has been reached will be billed as overage at $0.25/call on all tiers, or the Client may upgrade their plan.

Unused calls do not roll over. If the Client does not use their full monthly call allocation, the unused balance expires at the end of the billing cycle and no credit or refund will be issued.

By subscribing to SurgeAI's AI Receptionist service, the Client agrees to the following obligations:

Cancellation and refund policy

SurgeAI subscriptions are billed monthly and may be cancelled at any time. The following policies apply:

Section 07

Non-circumvention

The Client acknowledges that SurgeAI's AI technology, engagement workflows, nurture sequences, and platform architecture represent proprietary business assets. The Client agrees to the following:

Violation of this clause entitles SurgeAI to liquidated damages of $5,000 per occurrence, in addition to any actual damages, legal fees, and the immediate termination of the Client's Subscription without refund or credit.

Section 08

Data ownership and usage

This section defines the ownership and permitted use of data generated through the SurgeAI platform.

Section 09

Limitation of liability

SurgeAI's service is limited to AI-powered initial engagement of inbound calls from mortgage borrowers on behalf of the Client. SurgeAI does not guarantee that any call will result in a loan application, a closed loan, or any specific business outcome for the Client.

This section survives termination of the business relationship and applies to all claims, whether based in contract, tort, strict liability, or any other legal theory.

By subscribing to the AI Receptionist service, the Client explicitly grants SurgeAI the following authorizations:

Governing law and dispute resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. SurgeAI operates as a service of Fintier LLC, a Wyoming limited liability company.

By subscribing to SurgeAI's AI Receptionist service, the Client acknowledges that they have read, understood, and agreed to be bound by all terms set forth in this Agreement.
